Effective: 2026-10-23
Shuichi — Terms of Service
What changed on 23 October 2026. Section 3 now lists exactly what stops after the trial and what keeps working. Section 5: the portal does not switch between monthly and yearly, and the cancellation form shows your confirmation on the page for you to save; we do not email it for now. The Refund Policy says the same for withdrawals and what a refund of a whole charge does to your subscription. If you subscribed before 23 October 2026, write to hello@shuichi.app and we email you the confirmation of any statement you send through the form.
These terms cover the Shuichi website (shuichi.app) and buying Shuichi: a subscription or a lifetime purchase. What you may do with the app once it is on your Mac is in the End User License Agreement. The Acceptable Use Policy and the Refund Policy are part of these terms.
Shuichi is made and provided by Konstantin Lebedev, an individual entrepreneur registered in Georgia. The details Georgian law requires — registry name, identification number, registered address, contact — are on the Legal information page, in English and Georgian. These terms are governed by the law of Georgia. If you are a consumer, you also keep the protection of the mandatory consumer-protection rules of the country where you live; choosing Georgian law does not take that protection away from you.
1. Who you are dealing with
Creem is the merchant of record: Creem sells Shuichi to you, takes your payment, adds and pays the tax, and issues your receipt. Your purchase is also governed by Creem's Buyer Terms, which you see at checkout. Konstantin Lebedev makes Shuichi, delivers it to you, and supports it. If these terms and Creem's Buyer Terms disagree, Creem's Buyer Terms apply.
Your card statement shows the charge as CREEM.IO* STORE.
2. What you can buy
Shuichi is paid software with a free 14-day trial (section 3). After the trial you can keep using it in one of two ways:
- Subscription — $4.99 a month or $49 a year. It renews automatically at the end of each month or year and is charged to the payment method you used, until you cancel (section 5).
- Lifetime — $129 once. A one-time purchase for the lifetime of the product: you get every update we release for Shuichi for as long as we keep developing it. Your permission to use Shuichi has no end date, and the key is checked on your Mac without contacting any server, so it does not depend on our servers. Whether a given version keeps running on a future version of macOS depends on Apple's changes and on our updates; if we stop developing Shuichi, the last version stays yours to use, but we cannot promise it will run on every macOS released after that.
Both cover one person on every Mac that person owns or uses.
What you need: a Mac with Apple silicon and macOS 15 or later. Shuichi has no Windows, Intel-Mac or iPhone version. What each of its tools does is described on shuichi.app; try them in the 14-day trial before you pay.
If we stop. If we ever decide to stop developing Shuichi, we will say so on shuichi.app and in the app at least 6 months before the last update. When our key server closes, every active subscriber gets a key that no longer needs the server and works until the end of the period they paid for. Until we stop, we keep fixing security problems and keep Shuichi working on new macOS versions as part of the updates both plans include. Stopping does not end what the law requires of us: updates needed to keep Shuichi as described for as long as the law says you may expect them, and your legal remedies if it is not.
All prices are before tax (section 4).
2a. How buying works
- On shuichi.app/buy you choose a plan and go to Creem's checkout.
- Before you pay, Creem shows the total price, including any tax for where you are, the plan and how it renews, and its Buyer Terms. If something is wrong, go back to shuichi.app/buy and choose again; nothing is charged until you confirm the payment on Creem's page.
- After payment Creem emails you a receipt — keep it. The page you return to shows your key; save it there.
- These terms and the other pages are available on shuichi.app; you can download or print them. The contract is in English.
3. Trial
Shuichi works fully for 14 days from the day you first launch it, without a card and without an account. The first-launch date is kept on your Mac (also in your login Keychain, so reinstalling does not restart the trial — see the Privacy Policy).
When the trial ends without a subscription or Lifetime, Shuichi stops starting new work. Only these stop: starting a dictation or transcribing a file; keeping new copies in the clipboard history; beginning a new note; starting a focus timer; adding items to the shelf; changing an app's volume, mute or its own output; the player controls (play/pause, next, previous, speed, seek); automatic keyboard-layout switching, including fixing a word typed in the wrong layout; Dock previews and the window switcher (⌥Tab); and the "AI tool limits" display. These keep working: a dictation or a timer already running, the calendar (reading it and quick-add), what is playing, switching your Mac's sound output, your own keyboard-layout shortcut, and giving apps their normal sound back. It does not delete, hide or lock anything because a trial or a license ended: your notes, clipboard history and past transcripts stay readable, searchable and exportable, and you can still paste from the clipboard history. The retention settings you chose for clipboard and dictation history keep working as before.
4. Price, tax and payment
Prices on shuichi.app are in US dollars and before tax. Creem calculates the tax for where you are and adds it at checkout, so the total you pay can be higher than the listed price. Payment methods, currency and invoices are Creem's, as merchant of record.
Your price does not go up. If we change prices, the new price applies only to new subscriptions; a subscription you already have keeps renewing at the price you agreed to, until you cancel it. Tax is added on each renewal at the rate the law sets where you are at that time.
Reminders come in the app. We do not keep your email address (see the Privacy Policy), so Shuichi itself reminds you:
- for a yearly subscription, between 15 and 45 days before each yearly renewal — in a window that Shuichi opens once and in a line on its License page, with the renewal date and the amount;
- for every subscription, monthly included, at least once a year — the same window with your plan, how often and how much you are charged, and how to cancel.
The Manage subscription button on the same License page opens the portal where you cancel. Shuichi can only show a reminder when it is running; when you see it, Shuichi tells our key server the renewal date the reminder was about, so we know it reached you. If you did not open Shuichi in that window and a yearly renewal surprised you, see the Refund Policy. Creem's receipt email after each payment also has a link to manage or cancel the subscription.
5. Automatic renewal and cancelling
A subscription renews automatically for another month or year, at the price you agreed to, until you cancel. You can cancel at any time, in a few clicks, without writing to anyone:
- in Shuichi: Settings → License → Manage subscription, which opens Creem's customer portal;
- from the link in Creem's receipt email after each payment;
- from the Cancel your subscription here button on shuichi.app/buy. It opens a confirmation page where you choose an ordinary or, with a reason, an extraordinary termination, give your order number or license key and the date it should end (if you give none, the earliest possible date), then check your statement and press Cancel now. The page then shows your confirmation: the text of your statement, the date and time we received it and the date the subscription ends (for an extraordinary termination, the date you asked for, subject to our review). Save it there, as a file or by printing it; we do not email it for now. If you need it again, write to hello@shuichi.app and we send it from our record of your statement;
- or write to hello@shuichi.app and we will cancel it for you.
Cancelling stops the next charge; the portal shows it at once, and if you cancelled by writing to us, we confirm it in our reply. Shuichi keeps working until the end of the period you already paid for, as long as it can renew its key online (see the table in section 6). Cancelling does not by itself refund the current period; see the Refund Policy for that.
Germany, and any country whose law requires the same: after its first term (the first month or the first year) your subscription continues for an indefinite period, and you can end it at any time with one month's notice; we refund the part of the period paid for after the end date, pro rata by days. See the Refund Policy.
The portal does not switch a subscription between monthly and yearly. To move to the other plan, cancel the one you have and buy the other on shuichi.app/buy; what you paid for the current period is not credited, so buy the new plan close to the end of that period. Buying Lifetime does not credit what you paid for a subscription either, so cancel the subscription first to avoid another charge.
6. Your key and the internet
Your key is shown on the page you see right after checkout. Save it there — copy it or download it as a file. We do not email it, because we do not keep your email address. Reopening the same page link shows the key again; keep that link private. If you have lost both the key and the link, write to hello@shuichi.app from the email address you paid with, with the order number from Creem's receipt email if it shows one.
A Lifetime key is checked on your Mac only and never needs the internet. A subscription key is short-lived on purpose, for monthly and yearly plans alike: each key covers at most 30 days, and about once a month Shuichi asks our key server for a fresh one (what it sends is in the Privacy Policy). This table is the single place that says how long Shuichi keeps starting new work in each case; the other pages refer to it.
| Your situation | Shuichi keeps starting new work |
|---|---|
| Lifetime | always; no internet needed |
| Subscription, paid, Mac online | for as long as you pay; the key renews about monthly |
| Subscription, paid, Mac offline or our server unreachable | about 60 days after the last successful renewal, yearly plans included; then it stops until a renewal gets through, and resumes on the next successful renewal |
| Subscription, a payment failed | up to 30 days after the end of the period you last paid for, while Creem retries the payment |
| Subscription, cancelled | until the end of the period you paid for (no extra 30 days); offline, the 60-day limit above can come first |
| Subscription, refunded or charged back | no new keys; the key on your Mac may still pass the check until its last day (at most about two months), but using it is outside the EULA |
| Trial ended, no subscription or Lifetime | it stops; nothing you made is deleted (section 3) |
Shuichi can only renew a key in the last three days of that key's period, so connecting earlier does not extend it. Whatever your plan, monthly or yearly, Shuichi cannot be used offline for more than about two months in a row; after that it needs one successful renewal online.
7. Refunds
See the Refund Policy: a full refund within 14 days of your first payment, no questions asked; renewals are not refunded, except in the cases that policy lists. If you are a consumer in the EU or the UK, the same page explains your right to withdraw from the purchase and has the link to do it.
8. Acceptable use
See the Acceptable Use Policy.
9. No account
Shuichi has no login and no account. Buying creates a record at Creem (the seller) and a short record at our key server, so we can renew a subscription key and resend a lost one; it does not create a profile of how you use the app. See the Privacy Policy.
10. Support
Write to hello@shuichi.app. We answer within 3 working days.
11. Ownership
Shuichi (the app, its name, its design) belongs to Konstantin Lebedev. Buying Shuichi does not transfer ownership of the software; what you may do with it is in the EULA.
Shuichi includes open-source and third-party components under their own licenses (whisper.cpp, sherpa-onnx, GRDB, Sparkle and others); the list ships inside the app in THIRD-PARTY-LICENSES.md. Nothing in these terms limits what those licenses allow you to do with those components.
12. Backups are yours to keep
Shuichi keeps your clipboard history, notes and dictation history only on your Mac and does not back them up anywhere. Keep your own backup (for example Time Machine). We are not responsible for losing data that existed only on a Mac that failed, was lost or was erased, except where the loss was caused by our intent or gross negligence, or where the law does not allow this to be excluded.
13. Warranty and liability
We build Shuichi carefully and want it to work as described on shuichi.app. If it does not, write to us; if you are a consumer, you also have the rights the law of your country gives you when digital content does not conform to the contract, and nothing in these terms limits them.
Apart from those rights, Shuichi is provided as it is, and we do not promise that it suits a particular purpose of yours or that it will be free of every error.
If we cause you a loss through slight negligence, our liability is limited to the amount you paid for Shuichi in the 12 months before the claim or, if more, the price you paid for Lifetime. This limit does not apply to death or personal injury; to damage caused by our intent or gross negligence; to your right to a refund, repair or damages when we do not provide Shuichi as agreed; or to any liability that the law where you live does not allow to be limited.
14. Disputes
If something goes wrong, write to hello@shuichi.app first; most problems are solved there. If that does not work, you can go to the courts that have jurisdiction under the law, including, where the law gives a consumer that right, the courts of the country where you live. There is no arbitration clause and no class-action waiver.
15. Changes to these terms
We will change the date at the top of this page when these terms change. A change that makes your subscription worse for you never applies inside a period you have already paid for: it applies from your next renewal after we announce it in the app and on shuichi.app at least 30 days before, and you can cancel before then. Prices of existing subscriptions do not change (section 4).
