Shuichi — End User License Agreement (EULA)
This agreement covers your use of the Shuichi application (bundle id app.notchone, distributed as "Shuichi") on your Mac. Buying it — subscription, Lifetime, renewal, cancelling — is covered by the Terms of Service.
Shuichi is made by Konstantin Lebedev, an individual entrepreneur registered in Georgia (Legal information). This agreement is governed by the law of Georgia. If you are a consumer, you also keep the protection of the mandatory consumer-protection rules of the country where you live.
1. What you may do
During the 14-day trial, and while you have a valid key (an active subscription or Lifetime), you may install and use Shuichi on every Mac you own or use, for yourself. Without either, you may still run Shuichi to read, search and export what you made in it. The permission is personal: it is not exclusive and you cannot transfer it. Do not share your key with someone else; a key you did not buy and did not receive from us is not valid for you.
2. How keys are checked
Every key is signed text that Shuichi checks against a public key built into the app, on your Mac.
- A Lifetime key has no end date and never needs the internet.
- A subscription key carries a "paid through" date and a last day it works, and Shuichi renews it over the internet about once a month; each key covers at most 30 days, yearly plans too (see Terms of Service §6 and the Privacy Policy). How long Shuichi keeps working when you are offline, when a payment fails, after cancelling or after a refund is in one table: Terms of Service §6.
Because Lifetime keys are checked only on your Mac, we cannot switch one off remotely. A subscription key simply stops being renewed.
3. What you may not do
- Get around, disable or forge the key check, or reverse-engineer it for that purpose, except to the extent a law that cannot be waived by contract allows it.
- Redistribute, resell, rent or sublicense Shuichi or a modified copy of it, or publish your key.
- Use Shuichi in breach of the Acceptable Use Policy.
Shuichi includes open-source components under their own licenses (section 5). Nothing in this agreement limits what those licenses allow you to do with those components.
4. What this agreement does not include
- Support beyond what Terms of Service §10 promises: an answer within 3 working days.
- Backups of your data — see Terms of Service §12.
- Warranties and liability are in Terms of Service §13.
5. Third-party and open-source components
Shuichi bundles or downloads, under their own separate licenses:
- whisper.cpp — one of two on-device speech-recognition engines.
- sherpa-onnx / Parakeet (k2-fsa) — the second on-device speech-recognition engine.
- GRDB — local SQLite database library for clipboard, notes and dictation history.
- Sparkle — the update library.
- swift-collections — general utility library.
Full attribution and license texts ship inside the app in THIRD-PARTY-LICENSES.md.
6. Data and privacy
See the Privacy Policy for what Shuichi stores, reads and sends, and where.
7. Term, termination and refunds
- Subscription: your permission lasts while the subscription is paid; the table in Terms of Service §6 says what happens after a failed payment, cancelling or a refund. Cancelling ends it at the end of the period you paid for.
- Lifetime: your permission has no end date.
- Breach: if you materially break section 3, we may end your permission, stop renewing a subscription key, and decline future updates and support. If we stop renewing a subscription for this reason, we also cancel it so you are not charged again, and refund the part of the current period after the end date, pro rata by days.
- Refund: a refund ends your permission for what was refunded. A Lifetime key may still pass the check on your Mac, for the reason in section 2; using it after a refund is outside this agreement. For a subscription, see the Refund Policy.
Shuichi does not delete anything because your permission ended: your notes, clipboard history and past transcripts stay on your Mac, readable and exportable, and the retention settings you chose keep working as before.
8. Export and sanctions
Shuichi uses standard cryptography (Ed25519 signatures for keys and updates). You may not use, export or re-export Shuichi in breach of export-control or sanctions laws that apply to you.
9. Governing law
This agreement is governed by the law of Georgia. If you are a consumer, you also keep the protection of the mandatory consumer-protection rules of the country where you live. Disputes: see Terms of Service §14.
